Who we are and what you are agreeing to
Marilune provides AI colleagues — buddies — that work with your code, files and connected business tools under your direction. By creating an account or signing in, you agree to these Terms of Service and to our Privacy Policy on your own behalf. Your organisation remains bound by its subscription agreement and order form; these terms set out what we expect from you as an individual user and what you can expect from us.
How the service works
Each buddy runs in its own isolated environment with fixed resource limits. Actions that change state — editing files, sending messages, calling connected tools — require approval by an authorised user before they run.
Approval is a control, not a guarantee. We do not promise that the approval mechanism intercepts every harmful or unintended operation. Read each proposed action before you approve it; you are responsible for the actions you approve.
Your account
Seats are named: your account is for you alone, and you must not share your credentials. Keep your password safe and tell your administrator immediately if you suspect your account has been compromised. Use the least access that lets you do your work — connect only the tools and grant only the permissions you actually need.
Acceptable use
Use the service lawfully and in line with our acceptable use policy. In particular, you must not:
- attempt to break out of, probe or interfere with the isolation between environments, or with other customers’ use of the service;
- use the service to create or distribute malware, or to conduct attacks against any system;
- submit data that is subject to sector-specific regulation we have not agreed to handle — including protected health information (such as data covered by HIPAA) and payment card data (PCI DSS);
- use the service from, or make it available in, mainland China, the European Economic Area or the United Kingdom, where the service is not offered.
Your content and outputs
You and your organisation own your content, and you own the rights in outputs the service generates for you, as set out in your subscription agreement. We claim no rights in your code, files or business information beyond what is needed to run the service.
Outputs of an AI system can be wrong, incomplete or infringing. Review outputs before you rely on them, and have figures, legal text and other consequential material checked by a qualified person. Keep your own copies of your code and files: the service is not a backup system, and we are not responsible for losses caused by your failure to retain copies.
What we commit to
We provide the service with reasonable skill and care, and so that it materially conforms to its documentation. We protect your data as described in our data processing addendum and security addendum. If we confirm a security incident affecting your data, we notify your organisation within 72 hours.
We do not use your content to train machine-learning models, and we do not build evaluation datasets from it.
What we do not promise
We do not offer a service-level agreement or an availability commitment. We do not promise that outputs are accurate, complete or non-infringing, and we do not provide an intellectual-property indemnity. Features may change as the product evolves.
Where and how your data is processed
The service is hosted in Australia and New Zealand. Data may be processed in New Zealand, Singapore, Australia and the United States under our data processing addendum. Model providers are engaged on enterprise zero-data-retention terms, subject to the exceptions those providers state. Operational logs are kept for 30 days.
Our staff do not read your conversations except with your organisation’s authorisation, or where security or law requires it.
Subscription, renewal and termination
Seats are billed per named user as set out in the order form. Subscriptions renew automatically for successive 12-month periods; we remind your organisation 30 to 60 days before renewal, and renewal can be cancelled online. Refunds are limited to the cases stated in the subscription agreement — our uncured breach, or termination following an adverse change to the terms.
We may suspend access for security reasons, unlawful use or breach of the acceptable use policy. Either party may terminate for material breach that remains uncured 30 days after notice. After termination, your organisation has 30 days to export its data; we then delete it.
Liability
Neither party is liable for indirect or consequential loss. Our total aggregate liability is capped at the fees paid for the service in the 12 months before the event giving rise to the claim. We are not liable for losses arising from operations an authorised user approved, or from your failure to keep copies of your own code and files.
Nothing in these terms excludes rights that cannot lawfully be excluded, including, where it applies, the Consumer Guarantees Act 1993 (New Zealand).
Governing law and disputes
These terms are governed by New Zealand law. Disputes that cannot be resolved between the parties are referred to arbitration under the rules of the Arbitrators’ and Mediators’ Institute of New Zealand (AMINZ), seated in Auckland.
Changes to these terms
We may update these terms. When we publish a new version, you will be asked to accept it the next time you sign in; your earlier acceptance stays on record. If you do not accept the new version, stop using the service and contact your administrator.
